The terms "we," "us," "our" and the "Company" refer collectively to Global Basecamps, a California corporation and our affiliates, and "you" and "your" refer collectively to the customer booking a reservation and/or purchasing goods through us directly through this website, or indirectly through any of our affiliates through whom we provide services and/or goods. All reservations and/or purchases you make through us are subject to the terms, conditions and notices as they exist at the time the reservation is made. We, and third-party suppliers, reserve the right to change these terms, conditions and notices, and you agree to accept and be bound by such terms, conditions, and notices that are in effect at the time of your use of our website and facilities.

Your Warranties to Us

You warrant that you are at least 18 years of age and possess the legal authority to enter into this agreement and to use this Website in accordance with all terms and conditions herein. You agree to be financially responsible for all of your use of this Website (as well as for use of your account by others, including, without limitation, minors living with you). You agree to supervise all usage of this Website by minors under your name or account. You also warrant that all information supplied by you or members of your household in using this Website is true and accurate. Without limitation, any speculative, false, or fraudulent reservation or any reservation in anticipation of demand is prohibited. As a condition of your use of this Website, you warrant that you will not use this Website for any purpose that is unlawful or prohibited by this agreement.

The content and information on this Website (including, without limitation, price and availability of travel services), as well as the infrastructure used to provide such content and information, is proprietary to us or our suppliers and providers. Accordingly, as a condition of using this Website, you agree not to use this Website or its contents or information for any commercial or non-personal purpose (direct or indirect). While you may make limited copies of your travel itinerary (and related documents) for travel or services purchased through this Website, you agree not to modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any information, software, products, or services obtained from this Website.

You agree to be financially liable for all of your uses of this website as well as for the use of your name and credit card account to pay for any products and services purchased at this website by members of your household, including minors living with you. You also warrant that all information supplied by you or members of your household while using this website is true and accurate.

In addition, whether or not you have a commercial purpose, you agree not to:

• access, monitor or copy any content or information of this Website using any robot, spider, scraper or other automated means or any manual process for any purpose without our express written permission;
• violate the restrictions in any robot exclusion headers on this Website or bypass or circumvent other measures employed to prevent or limit access to this Website;
• take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure; or
• deep-link to any portion of this Website (including, without limitation, the purchase path for any travel services) for any purpose without our express written permission.

Terms of Service

This website provides assistance to customers in determining the availability of certain goods and services and/or purchasing such goods and services. In certain instances you will be purchasing goods and services directly from third party suppliers and in other instances you will be purchasing goods and services directly from the Company.
If goods or services are purchased or reservations are made directly from suppliers, separate terms and conditions of such suppliers will apply to your reservations or purchases of goods or services that you select. You agree to abide by the terms or conditions of purchase imposed by any supplier with whom you elect to deal, including, but not limited to, payment of all amounts when due and compliance with the supplier's rules and restrictions regarding availability and use of any products or services. You understand that any violation of any such supplier's conditions of purchase may result in cancellation of your reservations or purchases, in your being denied access to any hotels, in your forfeiting any monies paid for such reservations or purchases, and in the Company debiting your account for any costs we incur as a result of such violation. You will be completely responsible for all charges, fees, duties, taxes, and assessments arising out of your use of this website, and, without limitation, you will be responsible for all charges, fees, duties, taxes, and assessments arising out of transactions performed by others on your behalf, whether or not such uses were performed with your consent. You further agree that any claims that you may have arising out of such purchases will only be against such suppliers and not the Company.
As stated above, this website also accommodates the sale of certain goods and/or services to you directly. Your use of this website, including, but not limited to, purchase of certain goods and services through this website constitutes your agreement with the terms and conditions contained herein. With respect to hotel reservations made directly through this website, they are further subject to the published conditions and rules of the applicable hotel. A reservation and/or purchase made directly through this website will be subject to the cancellation and return policy that is applicable to that particular reservation and/or purchase which will be made known to you prior to your making such reservation and/or purchase. You further agree and acknowledge that your credit card may be charged for the full cost of your reservation upon submitting your reservation request regardless of whether the reservation is used.
With respect to items other than hotel and excursion/tour reservations, automobile rental or train tickets sold through this website, we cannot confirm the price of an item until you complete your order. Separate and more detailed terms and conditions may apply to your purchase order of goods with respect to the sale, delivery, return or exchange of the goods you select.
Despite our best efforts, a small number of the items in our catalog may be incorrectly priced. If an item's correct price is higher than our stated price, we will, at our discretion, either contact you for instructions before shipping or cancel your order and notify you of such cancellation.

Risk of Loss

All goods purchased from this website other than E-ticket(s) for hotel reservation are made pursuant to a shipment contract. Consequently, the risk of loss and title for such item pass to you upon our delivery to the carrier.

Prepaid Hotel Reservations

You acknowledge that Global Basecamps pre-negotiates certain room rates with hotel suppliers to facilitate the booking of reservations on your behalf. The room rate displayed on the Website is a combination of the pre-negotiated room rate for rooms reserved on your behalf by Global Basecamps and the facilitation fee retained by Global Basecamps to compensate us for our services. You authorize Global Basecamps to book reservations for the total reservation price, which includes the room rate displayed on the Website, plus tax recovery charges, and service fees. You agree that your credit card will be charged by Global Basecamps for the total reservation price. Upon submitting your reservation request you authorize Global Basecamps to facilitate hotel reservations on your behalf, including making payment arrangements with hotel suppliers.

You acknowledge that Global Basecamps does not collect taxes for remittance to applicable taxing authorities. The tax recovery charges on prepaid hotel transactions are a recovery of the estimated transaction taxes (e.g. sales and use, occupancy, room tax, excise tax, value added tax, etc) that Global Basecamps pays to the hotel supplier in connection with your hotel reservations. The hotel suppliers invoice Global Basecamps for tax amounts. The Hotel suppliers remit applicable taxes to the applicable taxing jurisdictions. Global Basecamps does not act as co-vendors with the supplier with whom we book or reserve our customer's travel arrangements. Taxability and the appropriate tax rate vary greatly by location. The actual tax amounts paid by Global Basecamps to the hotel suppliers may vary from the tax recovery charge amounts, depending upon the rates, taxability, etc. in effect at the time of the actual use of the hotel by our customers. We retain our service fees as compensation in servicing your travel reservation. Our service fees vary based on the amount and type of hotel reservation.

You may cancel or change your prepaid hotel reservation, but you will be charged the cancellation or change fee indicated in the rules and restrictions for the hotel reservation and may be charged an additional fee of up to 6.8% of the total purchase price by Global Basecamps to cover the administrative costs of processing your cancellation. In addition, if you do not cancel or change your reservation before the cancellation policy period applicable to the hotel you reserved, which varies by hotel (usually 24 to 72 hours prior to your date of arrival), you will be subject to a charge of applicable nightly rates, tax recovery charges and service fees. In the event you do not show for the first night of the reservation and plan to check-in for subsequent nights in your reservation, you must confirm the reservation changes with Global Basecamps or its subsidiary, as appropriate, no later than the date of the first night of the reservation to prevent cancellation of your reservation. You must make refund requests for no-shows or early checkouts within 60 days after checkout.

You agree to pay any cancellation or change fees that you incur to both the hotel and to Global Basecamps. In limited cases, some hotels do not permit changes to or cancellations of reservations after they are made, as indicated in the rules and restrictions for the hotel reservation. You agree to abide by the terms and conditions imposed with respect to your prepaid hotel reservations.

Travel Destinations

Although most travel, including travel to international destinations, is completed without incident, travel to certain destinations may involve greater risk than others. Global Basecamps urges passengers to review travel prohibitions, warnings, announcements and advisories issued by the United States Government prior to booking travel to international destinations. Information on conditions in various countries and the level of risk associated with travel to particular international destinations can be found at http://www.state.gov/, http://www.tsa.gov/, http://www.dot.gov/, http://www.faa.gov/, http://www.cdc.gov/, http://www.treas.gov/ofac and http://www.customs.gov/.

BY OFFERING FOR SALE TRAVEL TO PARTICULAR INTERNATIONAL DESTINATIONS, THE COMPANIES DO NOT REPRESENT OR WARRANT THAT TRAVEL TO SUCH POINTS IS ADVISABLE OR WITHOUT RISK, AND IS NOT LIABLE FOR DAMAGES OR LOSSES THAT MAY RESULT FROM TRAVEL TO SUCH DESTINATIONS.

In addition, participants release Global Basecamps from its own negligence and assume all risk thereof.

In no event shall the company, its affiliates, and/or their respective suppliers be liable for any direct, indirect, punitive, incidental, special, or consequential damages arising out of, or in any way connected with, the use of this website or with the delay or inability to use this website, or for any information, software, products, and services obtained through this website, or otherwise arising out of the use of this website, whether based on contract, tort, strict liability, or otherwise, even if the company, its affiliates, and/or their respective suppliers have been advised of the possibility of damages.

If, despite the limitation above, Global Basecamps or a Provider or Supplier is found liable for any loss or damage which arises out of or is in any way connected with any of the occurrences described in the limitation above, then Global Basecamps and the Providers' liability will in no event exceed, in total, the sum of US$250.00. Some states do not allow the limitation of liability, so the limitations above may not apply to you.

Indemnification

You agree to defend and indemnify the Company, its affiliates, and/or their respective suppliers and any of their officers, directors, employees and agents from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature including but not limited to reasonable legal and accounting fees, brought by: (i) you or on your behalf in excess of the liability described above; or (ii) by third parties as a result of (a) your breach of this agreement or the documents referenced herein, (b) your violation of any law or the rights of a third party, or (c) your use of this website.

General

Your acceptance of these Terms, and your use of the Site do not create a joint venture, partnership, employment, or agency relationship with us. You may not assign, delegate, or transfer your rights or obligations under these Terms.
